Abstract

ملخص : تهدف هذه الورقة إلى بحث موضوع حوكمة المؤسسات المالية الإسلامية من خلال بحث الجذور التاريخية لوضع معايير حوكمة المؤسسات عموما والمؤسسات المالية الإسلامية على وجه الخصوص. كما تناول أثر الأزمات المالية لاسيما الأزمة المالية العالمية لسنة 2008 م، وتداعياتها الأخلاقية والتنظيمية على معاودة النظر في موضوع معايير حوكمة المؤسسات المالية، وهو ما أفضى إلى مراجعة المعايير الصادرة، وإصدار معايير جديدة من قبل دول ومؤسسات داعمة ومصارف مركزية. وسيتم في هذه الورقة التركيز على تجربة البنك المركزي الماليزي في حوكمة المؤسسات المالية الإسلامية من خلال معيار "الحوكمة الشرعية للمؤسسات المالية الإسلامية" الذي أصدره البنك سنة 2010 م (باللغة الإنجليزية)، وألزم المؤسسات المالية الإسلامية العمل به في شهر جانفي 2011 م. فقد حظي هذا المعيار باستحسان المؤسسات المالية الإسلامية العاملة بماليزيا. كما سعت مؤسسات مالية إسلامية في دول مختلفة الاستفادة منه، ومن غيره من المعايير والأدلة الإرشادية الصادرة عن البنك المركزي الماليزي، وهو ما يستدعى تحليل هذه التجربة لتثمين ميزاتها وفسح المجال للإضافة عليها. والهدف من هذا البحث فهم أس س الحوكم ة الشرعي ة للمؤسسات المالية الإسلامية، وتقدير جهود الجهات الرقابية لاسيما البنك المركزي الماليزي والمؤسسات الداعمة في إرساء الأسس التنظيمية والاحترازية للمؤسسات المالية الإسلامية. الكلمات المفتاحية : الحوكمة الشرعية ، الأسس الشرعية ،المؤسسات المالية الإسلامية، البنك المركزي الماليزي. Abstract: This paper aims at examining one of the highly debated contemporary issues in the post international financial crisis in Muslim countries: the Shariah governance for Islamic financial institutions with special reference to the Shariah Governance Framework issued by the Central Bank of Malaysia in 2010 and in force in January 2011. The paper first discusses the fundamentals of corporate governance in conventional law followed by Islamic law. The texts of the Quran and Sunnah and major classical fiqhi books that established the framework of this theory are the main references. The second part of this paper examines major developments of governance from both conventional and Islamic perspectives. The third part highlights Shariah governance standards issued by the Central Bank of Malaysia. The objective of this paper is to understand the fundamentals of Shariah governance in Islamic law and appreciate the contributions of supervisory and supporting institutions especially the Central Bank of Malaysia in the implementation of prudential measures that ensure smooth and efficient performance of Islamic financial institutions.
