Abstract

يهدف هذا البحث إلى ضبط الإطار العام لمعاملة التأجير التمويلي اللاحق، وهي معاملة مركبة من عقد بيع يتلوه عقد تأجير مع تخيير البائع في عودة العين إليه بعقد بيع ثالث عند انتهاء العقد. فيقوم البائع ببيع عين لبنك في العقد الأول، ثم يستأجرها منه تأجيرا تمويليا في عقد ثان، وتهدف في مجموعها إلى إعادة استئجار البائع لعينه التي باعها بغية الحصول على سيولة مالية والحفاظ على حق الاستمتاع بمنفعة العين المبيعة. ويناقش الباحث هذه المعاملة من زاوية الموازنة بين جميع الأداءات العقدية التي دخل بها البائع في كلا العقدين؛ عقد البيع والإجارة مع ما دخل به البنك في المعاملة كمشتر، ثم بوصفه مؤجرا ثم بائعا عند إعمال العميل لخيار الشراء، ويقوم الباحث بمقارنة النظر الشرعي بالقانون الماليزي والقانون المصري، وإن كانت المعاملة من ناحية القانون لا يتخللها أي دخل لكونها مسموحا بالعمل بها بمقتضى القانون إلا أن المعاملة من ناحية الشريعة المباركة إذا نظر إليها على سبيل ضم العقود ومراعاة جملة المداخل والمخارج العقدية، فإنها محل اختلاف بين علماء الشريعة. وفي هذه الدراسة تم استعمال المنهج الاستقرائي والمنهج التحليلي توافقا مع طبيعة البحث التي تستدعي ذلك، وخلص البحث إلى أن تحكيم مبدأ التوازن العقدي وإعمال الموازنة بين جملة الأداءات العقدية في التأجير التمويلي اللاحق يفضي إلى وجود زيادة في أحد جهتي العقد خالية عن مقابل، وبذلك يكون اختلال التوازن العقدي مرجحا للرأي القائل بتحريم المعاملة، وأن العودة إلى التوازن العقدي يؤمن مخرجا فقهيا للمعاملة وذلك بتخلل مدة زمنية كافية بعد خروج العين المبيعة في العقد الأول من البائع وطروء التغير عليها وعلى قيمتها في يد المشتري فيقابل نقصان الثمن النقصان الحادث في المعقود عليه. الكلمات المفتاحية: الإيجار، التمويل. التأجير التمويلي اللاحق، الأداءات العقدية، جملة المداخل والمخارج العقدية. Sale and Lease-Back Agreement: A Balance between the Contractual acts Abstract This research aims to precisely determine the general framework for a sale and lease-back agreement. This is a composite financing arrangement in which a sale is followed by a lease of the asset back to the original owner, who is given the option to repurchase the asset by another sale contract upon the expiry of the lease agreement. The seller sells an asset to the bank in the first contract; he then leases it from the bank by a financing lease in a second contract. The objective of the overall arrangement is for the seller to take back on lease the asset he has sold in order to acquire liquidity while preserving the right to enjoy the usufruct of the sold asset. The researcher discusses this transactional arrangement in terms of the balance between all the contractually prescribed acts that the seller undertakes by virtue of the two contracts—the sale and the lease—and those which the bank undertakes in its capacity as the buyer, and then the lessor, and then the seller in case the customer exercises the purchase option. The researcher compares the Shari’ah perspective on this issue with that of Malaysian law and Egyptian law. The transaction is legal from the perspective of the national legal systems because statutory law permits it. From the perspective of the Shari’ah, however, it is the subject of juristic controversy due to the combination of contracts and the consideration of the overall implications and consequences of the contracts.
