Abstract
The process of company formation and registration in Malaysia is an essential gateway for entrepreneurs and businesses alike, laying the foundation for their legal identity and operational structure. Under the purview of the Companies Act 2016 (“CA 2016”), Malaysia offers various classifications of companies that cater to different business needs, ranging from private limited companies (Sdn Bhd) to public limited companies (Bhd), among others. These classifications determine the level of liability, ownership, and regulatory requirements that businesses must adhere to. The journey of forming a company begins with key decisions on its structure – whether it will be privately held, publicly traded, limited by shares, or even a limited liability partnership (“LLP”). Once classified, the company must undergo the registration process with the Companies Commission of Malaysia (“SSM”), ensuring compliance with legal formalities, including the submission of relevant documents, payment of fees, and adherence to statutory obligations. This classification and registration system is not just a legal formality but a strategic step for businesses in Malaysia. It defines their legal standing, taxation obligations, and opportunities for growth within the nation’s dynamic economic landscape. The process of setting up a company might seem complex, but it is an indispensable phase for those looking to embark on a formal business journey in Malaysia, offering both protection and growth potential for aspiring entrepreneurs and established corporations alike.
